Affiliate Terms – Job Readiness Bundle Promotion

1. Definitions

1.1 “Job Readiness Bundle” refers to SkillUp’s packaged offering of 17 industry-aligned courses, AI-powered job matching, and access to job and internship opportunities, designed for universities and educational institutions.

1.2 “Affiliate” means any individual or entity approved to promote the Job Readiness Bundle in exchange for a commission.

2. Scope of Promotion

2.1 Affiliates are authorised to promote the Job Readiness Bundle only to universities, colleges, schools, and other educational institutions, unless otherwise approved in writing by SkillUp.

2.2 Affiliates must only use marketing materials, links, and creatives provided or approved by SkillUp.

3. Prohibited Activities

Affiliates must not:

Make false, misleading, or exaggerated claims about the Job Readiness Bundle, student outcomes, or employment results.

Use spam, unsolicited emails, or automated messaging to promote the Bundle.

Promote the Job Readiness Bundle to individual students for personal purchase (unless separately authorised under a B2C affiliate program).

Bid on SkillUp-branded keywords in paid advertising (including Google Ads, Facebook Ads, etc.) without prior written approval.

Represent themselves as employees, partners, or official representatives of SkillUp.

Use SkillUp’s trademarks, logos, or branding in any way that implies endorsement or official partnership without prior written consent.

Promote the Job Readiness Bundle on websites or platforms that contain adult content, gambling, illegal activities, or content that could damage SkillUp’s reputation.

4. Commission and Payment

4.1 Affiliates will earn commission only on successful sales of the Job Readiness Bundle that are tracked through their unique affiliate link and approved by SkillUp.

4.2 Commission rates and payment terms are set out in the separate Affiliate Commission Schedule, which may be updated from time to time.

4.3 SkillUp reserves the right to withhold or reverse commissions in cases of suspected fraud, chargebacks, or violation of these terms.

5. Intellectual Property

5.1 Affiliates are granted a limited, non-exclusive, non-transferable licence to use SkillUp’s approved marketing materials solely for the purpose of promoting the Job Readiness Bundle.

5.2 All intellectual property rights in the Job Readiness Bundle and SkillUp branding remain with SkillUp.

6. Compliance with Laws

6.1 Affiliates must comply with all applicable laws and regulations, including data protection laws (e.g. PDPA in Thailand, GDPR where applicable), advertising standards, and consumer protection laws.

6.2 Affiliates must not engage in any activity that could be considered unfair or deceptive marketing.

7. Termination

7.1 SkillUp may terminate an Affiliate’s participation in the program at any time, with or without notice, if the Affiliate breaches these terms or engages in conduct that harms SkillUp’s reputation or business.

7.2 Upon termination, the Affiliate must immediately stop using all SkillUp marketing materials and links.

8. Limitation of Liability

8.1 SkillUp shall not be liable for any indirect, incidental, or consequential damages arising from an Affiliate’s promotion of the Job Readiness Bundle.

8.2 Affiliates promote the Job Readiness Bundle at their own risk.

9. Changes to Terms

SkillUp reserves the right to update these Affiliate Terms at any time. Continued promotion of the Job Readiness Bundle after changes are published constitutes acceptance of the updated terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United Kingdom.
